By accessing, browsing, purchasing, registering for, or using any portion of the Agenarys platform, you agree to be bound by these Terms.

If you do not agree with these Terms, you must discontinue use of the platform.

DESCRIPTION OF SERVICES

Agenarys provides technology-related services, verification services, discovery services, information services, business intelligence services, agent-readiness services, memberships, digital listings, API access programs, educational content, AI-related resources, and related offerings.

Services may include but are not limited to:

Services may be modified, expanded, discontinued, suspended, or updated at any time.

•search rankings

•GEO rankings

•SEO rankings

•AEO rankings

•traffic

•revenue

•sales

•leads

•business growth

•AI visibility

•AI recommendations

•AI usage

•AI adoption

•AI discovery

•platform placement

Any examples, demonstrations, case studies, or projections are provided for informational purposes only.

Past performance does not guarantee future results.

AUDIT AND REVIEW SERVICES

The Agent Readiness Audit and related validation services are review-based services.

Purchasing an audit does not guarantee:

•approval

•AGV status

•Nexa acceptance

•certification

•listing eligibility

The audit fee compensates Agenarys for evaluation, analysis, reporting, processing, and review work.

The outcome of any review remains solely within the discretion of Agenarys based on the information available during evaluation.

MEMBERSHIPS

Memberships are recurring services.

Membership fees may be billed monthly or according to the selected billing cycle.

Membership benefits may change over time as the platform evolves.

Agenarys reserves the right to modify, expand, reduce, or discontinue membership features.

Cancellation of a membership does not automatically generate refunds for previously billed periods.

AGENARYS NEXA

Agenarys Nexa is a discovery and trust network.

Participation in Nexa does not guarantee:

•visibility

•traffic

•sales

•customer acquisition

•AI recommendations

•AI integrations

Agenarys reserves the right to suspend, remove, reject, revoke, or modify listings at its discretion.

AGENARYS CREDITS

Agenarys Credits (“AC”) are internal platform credits.

One (1) AC may be represented internally as equivalent to one United States Dollar ($1.00 USD) for platform accounting purposes.

Agenarys Credits:

•are not bank deposits

•are not savings accounts

•are not checking accounts

•are not investments

•are not securities

•do not earn interest

•are not legal tender

Credits may only be used within the Agenarys ecosystem according to applicable rules and policies.

Agenarys reserves the right to modify credit functionality, redemption options, eligibility requirements, and usage restrictions.

API ACCESS

Access to APIs, developer resources, and future agent-access systems may require approval, authentication, subscription, usage limits, and compliance with additional requirements.

Agenarys reserves the right to:

•rate limit access

•suspend access

•terminate access

•restrict usage

•revoke credentials

For any reason including abuse, security concerns, or policy violations.

USER CONDUCT

Users agree not to:

•violate laws

•submit false information

•impersonate others

•interfere with platform operations

•attempt unauthorized access

•abuse APIs

•reverse engineer proprietary systems

•circumvent security controls

•manipulate verification processes

•engage in fraud

•distribute malware

•engage in spam activity

Violation may result in suspension or termination.

INTELLECTUAL PROPERTY

All content, branding, designs, systems, processes, software, text, graphics, logos, names, documentation, and related materials are owned by or licensed to Stellarys Resonance LLC™ unless otherwise stated.

The Yellow Pages of AI™

Users may not reproduce, distribute, copy, modify, sell, or exploit proprietary content without written permission.

THIRD-PARTY SERVICES

Agenarys may integrate with or reference third-party services.

Examples may include:

•Stripe

•Supabase

•OpenAI

•Anthropic

•YouTube

•cloud hosting providers

•analytics providers

Agenarys is not responsible for the actions, policies, outages, or performance of third-party services.

DISCLAIMER OF WARRANTIES

The platform is provided on an “as-is” and “as-available” basis.

To the maximum extent permitted by law, Stellarys Resonance LLC™ disclaims all warranties, express or implied.

We do not warrant that:

•services will be uninterrupted

•services will be error free

•services will meet every expectation

•services will produce specific outcomes

LIMITATION OF LIABILITY

To the fullest extent permitted by law, Stellarys Resonance LLC™, its owners, managers, contractors, affiliates, licensors, and partners shall not be liable for indirect, incidental, consequential, special, punitive, or exemplary damages.

Total liability shall not exceed the amount paid by the customer for the specific service giving rise to the claim during the twelve months preceding the claim.

TERMINATION

Agenarys may suspend or terminate access at any time for:

•policy violations

•fraud concerns

•abuse

•legal requirements

•security concerns

•operational reasons

Termination does not eliminate obligations incurred before termination.

CHANGES TO THESE TERMS

Agenarys reserves the right to update these Terms at any time.

Updated versions become effective when posted on the website.

Continued use of the platform constitutes acceptance of updated Terms.

GOVERNING LAW

These Terms shall be governed by the laws of the State of Florida, United States, without regard to conflict of law principles.

Any disputes shall be resolved in the appropriate courts located in Florida unless otherwise required by applicable law.
